User Agreement

Member-deployed products and their revenue share are not available right now — this tier is coming soon. While it is closed, every program the Platform deploys is owned 100% by the Platform, and no member revenue share applies. The Platform operates two product ownership tiers. (1) System-Deployed Products: niches identified and deployed by the Platform's autonomous AI fleet are owned 100% by the Platform. These products are priced at a flat $5/month with a one-month free trial for the end customer, and 100% of collected revenue belongs to the Platform — no member revenue share applies. (2) Member-Deployed Products: niches deployed by a Pro subscriber through the Platform are owned by that member, who retains 80% of all revenue the product collects. The Platform retains a 20% share on member-deployed products in exchange for the autonomous AI fleet, deployment infrastructure, and operating agents. The revenue share is calculated on gross revenue (before payment-processing fees, refunds, and chargebacks) and is deducted at the point of collection. By deploying a product or processing revenue through the Platform, you agree to the tier that applies to your product.

Member-deployed products are not available right now — this is coming soon, and the terms below describe how it will work when it opens. Pro subscribers may deploy any niche discovered through the Platform's Niche Radar into a live micro-SaaS product. A product you deploy is a Member-Deployed Product — your user account is recorded as the product owner at the moment of deployment, and that ownership is what entitles you to the 80% revenue share described above. Only active Pro subscribers (and Platform admins) may deploy niches; free-tier accounts cannot deploy or own products. Ownership persists for the lifetime of the product and transfers the 80% revenue entitlement — and the 20% Platform share — to you for all revenue that product collects through the Platform. Products deployed autonomously by the Platform's AI fleet (System-Deployed Products) are owned 100% by the Platform and are not subject to any member revenue share.

System-Deployed Products are priced at a flat $5/month and include a one-month free trial for the end customer; the customer is not charged until the trial period ends, and may cancel at any time during the trial at no cost. Member-Deployed Products are priced at the rate set by the Platform for that product. Access to deploy products through the Platform requires an active Pro subscription billed monthly at the published rate, separate from and in addition to any revenue share; deploying your own products is not available right now and is coming soon. Subscription and product fees are non-refundable except where required by law. You may cancel any subscription at any time; cancellation stops future billing but does not retroactively refund past charges.

The Platform deploys and operates micro-SaaS products using autonomous AI agents. You acknowledge that product performance, revenue outcomes, and market fit are not guaranteed and depend on factors outside the Platform's control, including market demand, competition, and third-party service availability. The Platform is not liable for revenue shortfalls or product underperformance.

The Platform continuously scans the market to keep niche opportunities current. Niche data, opportunity scores, and market estimates are generated by AI and are estimates only — not guarantees of revenue or market size. You are responsible for independently validating any niche before investing significant resources.

You agree not to deploy products that violate applicable law, infringe intellectual property, or harm end users. You may not scrape, crawl, bulk-download, or use automated tools to extract data from the Platform; reverse-engineer, decompile, or disassemble the software or AI systems; or access the Platform in any way that could damage, disable, overburden, or impair it. The Platform reserves the right to pause, remove, or refuse to deploy any product at its sole discretion, including products that generate excessive refund or chargeback rates.

The Platform's niche-scanning methods, opportunity scores, market intelligence, autonomous agent architecture, prompts, and aggregated niche data (collectively, "Confidential Information") are proprietary. By accessing the Platform you agree to: (a) keep all Confidential Information confidential and not disclose it to third parties; (b) not use the Platform, its data, or its outputs to build, enable, or operate a competing product or service; and (c) not circumvent the Platform by taking niches, leads, or intelligence discovered here and executing them outside the Platform to avoid the revenue share. These obligations survive termination of your account. Niche data shown to you is licensed for operating products through the Platform only — not for reselling, relicensing, or building derivative datasets.

You are responsible for keeping your account credentials secure. The Platform may suspend or terminate access for non-payment, violation of these terms, or abusive use. Upon termination, your revenue share obligations on earnings collected prior to termination survive.

The Platform, including its name, software, autonomous agent systems, niche-scanning models, design, and all associated intellectual property, is owned by Richardson Incorporated. Deploying a micro-SaaS product through the Platform grants you ownership of that specific deployed product record and its collected revenue share — it does not transfer any ownership of the Platform itself, its underlying technology, or its AI systems. You retain ownership of any original content you submit; by submitting it you grant the Platform a license to process it through its autonomous agents to operate your deployed products.

All market niches, opportunity analyses, niche-scanning methodologies, automated deployment processes, and the autonomous AI systems used to discover and operate them are the exclusive intellectual property of Richardson Incorporated and the Platform. The Platform asserts all available intellectual property rights — including patent, copyright, trade secret, and know-how protections — over every niche identified, scored, analyzed, or deployed by its autonomous AI fleet, as well as the methods, prompts, models, and agent architectures used to discover and execute on those niches. Member-Deployed products grant the deploying member ownership of that specific deployed product record and its revenue share only; the underlying niche discovery, the scanning method that found it, and the autonomous agent system that operates it remain the Platform's intellectual property in perpetuity. You agree not to file, claim, or assert any patent, copyright, or other intellectual property registration that claims or covers any niche, method, or system discovered or used by the Platform, and not to challenge the Platform's ownership of its discovered niches, scanning methods, or autonomous agent systems.

We respect the intellectual property rights of others and expect members to do the same. If you believe content on the Platform infringes a copyright you own or control, you may submit a takedown notice under the Digital Millennium Copyright Act (DMCA) to velocity831agent@gmail.com. Your notice must include: (a) a physical or electronic signature of the copyright owner or an authorized agent; (b) identification of the copyrighted work claimed to be infringed; (c) identification of the allegedly infringing material and enough information for us to locate it; (d) your contact information; (e) a good-faith statement that the use is unauthorized; and (f) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act. We will process and respond to valid notices in accordance with applicable law.
